Terms of Service
These Terms of Service govern access to and use of BillingVerse websites, applications, cloud services, demo forms, and related services provided by Zipbooks Software Solutions Pvt. Ltd.
1. Acceptance of Terms
By accessing or using BillingVerse, creating an account, requesting a demo, or using any related service, you agree to these Terms. If you use BillingVerse on behalf of a company, you represent that you have authority to bind that company.
2. Service Description
BillingVerse is a cloud-based POS, billing, inventory, sales, purchase, accounting, reporting, and business operations platform for retail and trading businesses. Features may change over time as we improve the service.
3. Accounts and Access
- You must provide accurate account, business, and contact information.
- You are responsible for keeping login credentials confidential.
- You are responsible for activity under your account and for managing user roles and permissions.
- You must notify us promptly of unauthorized access or suspected security incidents.
4. Customer Data
You retain ownership of business data you enter into BillingVerse. You grant us the limited rights needed to host, process, transmit, back up, secure, and display that data to provide the service. You are responsible for the accuracy, legality, and permissions related to Customer Data.
5. Acceptable Use
You must not:
- Use BillingVerse for unlawful, harmful, fraudulent, or abusive activity.
- Attempt to gain unauthorized access to systems, accounts, data, or networks.
- Interfere with service availability, security, or integrity.
- Upload malicious code or content that violates third-party rights.
- Reverse engineer, copy, resell, or misuse the service except as permitted by law or written agreement.
6. Third-Party Services and Integrations
BillingVerse may integrate with third-party services such as Meta, payment providers, messaging providers, analytics, email, cloud infrastructure, or other business tools. Your use of third-party services may be subject to their terms and privacy policies. We are not responsible for third-party services outside our control.
7. Fees and Payment
Pricing, paid plans, trial terms, and billing arrangements may be provided separately by written agreement, invoice, order form, or published plan. Taxes, government charges, and payment processing fees may apply where relevant.
8. Intellectual Property
BillingVerse, including software, designs, workflows, user interface, documentation, logos, trademarks, and other materials, is owned by Zipbooks Software Solutions Pvt. Ltd. or its licensors. These Terms do not transfer ownership of BillingVerse intellectual property to you.
9. Confidentiality
Each party may receive non-public business, technical, financial, or operational information from the other. Each party agrees to protect confidential information using reasonable care and use it only for purposes related to BillingVerse.
10. Service Availability and Changes
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free operation. We may update, suspend, limit, or modify features for maintenance, security, legal compliance, product improvement, or business reasons.
11. Disclaimers
BillingVerse is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not warrant that the service will meet every requirement, be uninterrupted, or be free of errors. You are responsible for reviewing business, tax, accounting, and legal outputs before relying on them.
12. Limitation of Liability
To the maximum extent permitted by law, Zipbooks Software Solutions Pvt. Ltd. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities. Our aggregate liability for claims relating to the service will not exceed the amount paid by you for the service during the three months before the claim, unless applicable law requires otherwise.
13. Suspension and Termination
We may suspend or terminate access if you breach these Terms, fail to pay amounts due, create security or legal risk, misuse the service, or if required by law. You may stop using the service at any time. Data export, retention, and deletion may be handled according to your plan, agreement, and applicable law.
14. Privacy
Our collection and use of information is described in the Privacy Policy. Data deletion instructions are available at Data Deletion.
15. Governing Law
These Terms are governed by the laws of India. Subject to applicable law, courts located in Ahmedabad, Gujarat, India will have jurisdiction over disputes arising from or relating to these Terms or BillingVerse.
